About me
Tapiwa is a Senior Associate at the Firm and the Head of International Partnerships Development. Tapiwa specializes in the legal and regulatory aspects of the insurance, private equity, and investment funds sector. She heads the Firm’s Insurance, private equity, and investment funds practice. Tapiwa has vast experience in insurance law, particularly in commercial agreements between insurers and banks, as well as navigating the complexities of investment funds and other key service providers within the insurance industry. In addition to her practical expertise, Tapiwa publishes with the International Comparative Legal Guides, offering practical insights on insurance law in Malawi. Tapiwa holds a Bachelor of Laws (Hons) from the Catholic University of Malawi and is a member of the International Association of Insurance Law. Tapiwa also holds specialized certifications on mergers and acquisitions and syndicated financing Transactions obtained from the University of Cape Town. She has also completed advanced trainings and obtained certifications on venture capital and investment funds from the University of Pretoria, the Gordon Institute of Business Science[GIBS], and the Southern Africa Venture Capital and Private Equity Association [SAVCA].

Advised Eastern and Southern African Trade and Development Bank [TDB] on amendment and restatement of facilities agreements between TDB and Alliance One Tobacco Malawi Limited.
Advised Alliance One on transactional security in relation to increased commitment under a facility agreement and whether the increased commitment would require amendment of the security documentation and registration.
Team Member advising International Finance Institution (IFI) in Africa on a USD 10,000,000-00 export finance facility extended to a local agricultural outfit.
Advised and conducted legal due diligence for Marsh & McLennan Companies, Inc on the indirect shareholder restructuring for Marsh (Malawi) Limited in implementing a large internal reorganisation impacting the indirect shareholding of Marsh (Malawi) Limited.
Reviewing and drafting various documents i.e., incorporation documents, Articles of Association for various NGOs including Goal International, Accurat Norway, Let’s Build Foundation Norway, Texas Children’s Homes through K & L Gates LLP, Morehouse School of Medicine, Overland Mission, United Purpose, and Self-Help Africa, among others.
Team member in a cross-currency swap transaction for USD30, 000, 000. 00 between the Reserve Bank of Malawi, an international bank based in London and a local commercial bank. The team’s role was to draft the swap agreement in line with standard International Swap Dealers Association terms whilst also providing for a local bank to act as an agent to hold and invest the local currency given by the Central Bank.
Provided a local advisory note to Almastone on security instruments, registration, and costs under the Personal Property Securities Act for an entity in Europe on commodity finance facility of USD 5, 000,000-00 to an outfit in UAE guaranteed in Malawi.
Legal advisor for Export Trading Group of Companies. Offering drafting, reviews, advisory and litigation services in employment matters, commercial transactions, and Workers Compensation claim.
Provided legal advice to Shell International Trading and Shipping Company [Shell] in relation to a project sub – lease agreement intended for an afforestation, reforestation, and revegetation [ARR] project in Malawi.
